Terms and Conditions: Project Aerith
1. Nature of Service

Autonomous Agency: The Buyer acknowledges that Project Aerith is an autonomous AI agent designed to perform software engineering tasks including ideation, coding, and environment configuration.

Self-Hosted Deployment: The Service is provided as a "Self-Hosted" solution deployed within the Buyer’s own cloud environment (e.g., AWS or Google Cloud). The Buyer retains full control and responsibility for the underlying infrastructure.

LLM Dependency: The Service utilises third-party Large Language Models (including Google Gemini, Amazon Bedrock, and Anthropic) for reasoning; therefore, performance is subject to the availability and operational parameters of these underlying models.
2. Intellectual Property (IP) Rights

Ownership of Output: Upon full payment of service fees, all original source code, documentation, and Pull Requests (PRs) generated by Aerith for the Buyer shall be owned by the Buyer.

Background IP: Footprint IT retains ownership of the "Aerith" orchestration engine, Kubernetes Custom Resource definitions, and proprietary "reconciliation loop" logic used to manage the agents.

Open Source Compliance: Aerith is programmed to respect existing licenses; any integration of third-party open-source libraries will be flagged in the generated documentation for Buyer review.
3. Liability and "Human-in-the-Loop" (HITL)

Review Responsibility: Aerith operates on a "non-production first" basis. The Buyer is responsible for the final review and "promotion to production" of any code generated by the agent.

Limitation of Liability: Footprint IT shall not be liable for any defects or system failures resulting from AI-generated code that was promoted to a production environment without human validation and testing by the Buyer.

Validation Loop: The Service includes automated testing in non-production environments; however, these tests do not replace the Buyer’s standard UAT (User Acceptance Testing) protocols.
4. Data Protection, Consumption & Usage

Cloud Consumption Costs: The Buyer acknowledges that all cloud infrastructure costs (Compute, Storage) and LLM API consumption charges (e.g., Token usage fees) incurred by the operation of Aerith are the sole responsibility of the Buyer and are billed directly by their Cloud Provider.

Data Sovereignty: All processing occurs within the Buyer's designated cloud regions (e.g., UK London regions) to ensure compliance with data sovereignty requirements.

Prompt Data: Footprint IT ensures that Buyer-specific technical data ingested from task management systems (e.g., Trello, Jira) or GitHub is used solely for the execution of the Buyer’s tasks and is not used to train public LLMs.
5. Service Levels and Scaling

Unlimited Concurrency: The Buyer is entitled to run an unlimited number of concurrent engineering agents and tasks under the single Organisation License, subject to the capacity of the Buyer's own underlying cloud infrastructure.

Support Fair Usage Policy: The fixed monthly fee includes standard technical support. Footprint IT reserves the right to apply a Fair Usage Policy to support hours; support requirements exceeding this allowance may incur additional professional service charges.

Availability: Footprint IT targets a 99.9% availability for the Aerith orchestration platform software, excluding scheduled maintenance windows and failures caused by the Buyer's own cloud environment.
